We are looking for an experienced Corporate Law Attorney to join our client's in-house legal team in Phoenix, Arizona. This role involves providing comprehensive legal support to a company in the utilities sector, offering strategic guidance on mergers and acquisitions, corporate law, and commercial agreements. The ideal candidate will excel in managing complex legal matters while collaborating with cross-functional teams to achieve business goals. The ideal candidate must have both utilities sector and M& A experience. Relocation assistance is provided. Base plus short term and long term bonuses and full benefits package.
Responsibilities:
- Provide expert legal counsel on mergers and acquisitions, corporate transactions, and strategic business development initiatives.
- Draft, review, and negotiate a variety of commercial agreements, including procurement, licensing, and non-disclosure agreements.
- Offer legal support for operations, human resources, and regulatory compliance matters.
- Lead or mentor team members within the legal department to ensure high performance and foster growth.
- Develop and execute legal strategies to align with and facilitate business objectives.
- Collaborate with internal stakeholders to analyze legal risks and devise practical solutions for complex challenges.
- Manage litigation processes and oversee external counsel when necessary.
- Monitor changes in laws and regulations to ensure compliance and proactive risk management.
- Represent the organization in negotiations, hearings, and other legal proceedings.
- Create and maintain self-help tools and educational resources for internal teams to reduce liability exposure.
Requirements
- A minimum of 10 years of legal experience, with a strong focus on corporate law and mergers & acquisitions.
- Active bar admission in the state of Arizona or Registered In-House Legal Counsel.
- Extensive experience drafting and negotiating commercial contracts, including procurement and licensing agreements.
- Proven ability to manage complex legal matters independently and provide sound judgment with attention to detail.
- Strong communication and leadership skills, with experience mentoring less experienced legal staff.
- Familiarity with regulatory compliance and risk management strategies within the utilities sector.
- Demonstrated ability to analyze legal implications of business decisions and provide actionable recommendations.
- Willingness to travel as required for business as needed - 20-25%.
